These Terms of Service ("Terms") govern your access to and use of the ContextGate website at contextgate.ai and the ContextGate platform, products, and services (collectively, the "Service") provided by ContextGate ("we", "our", or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Eligibility

You must be at least 16 years of age and have the legal capacity to enter into a binding agreement to use the Service. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

4. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, software, and documentation — are the exclusive property of ContextGate or its licensors and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks or branding without prior written permission.

5. Your Content

You retain ownership of any data, configurations, or content you submit through the Service ("Your Content"). By using the Service, you grant us a limited licence to process Your Content solely as necessary to provide and improve the Service. We will not sell or share Your Content with third parties except as described in our Privacy Policy or as required by law.

6. Fees and Payment

Certain features of the Service may require payment. Fees, billing cycles, and payment terms will be specified at the time of purchase or subscription. All fees are non-refundable unless otherwise stated. We reserve the right to change pricing with reasonable notice.

Our total aggregate liability shall not exceed the amount you paid us in the twelve months preceding the claim.

You agree to indemnify and hold harmless ContextGate and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
